The solution

HQ Equita decided for us due to the integrated offer of the Transaction Advisory Group (Consulting in M&A, Commercial Due Diligence and Debt Advisory), combined with relevant industry expertise in the TMT-sector.

This one-stop-solution helped HQ Equita stand out during the process. At the time of the indicative offer, all questions regarding business model, market and competition had been answered. This was because of our vast industry knowledge and know-how combined with the early commencement of the CDD process. Thanks to this basis, HQ Equita was able to gain a position as front runner. Right after the indicative offer, exclusive negotiations were taken up.

We acted as central coordinator between HQ Equita and the different Due Diligence Teams (Commercial, Financial, Tax and Legal), in virtue of which the Confirmatory Due Diligence was completed in the given timeframe, parallel to negotiations. Additionally, our Debt Advisory Team established an optimal financing strategy, which was customized to the company’s strong growth and which was met with interest by the financing partners.

The team convinced us with its combination of integrated Transaction Advisory Services and deep knowledge of the industry. Likewise, the central coordination of all Due Diligence entities through their team contributed crucially to our positioning during the entire buying process.

M&A Industry Snapshot: The European PropTech and ConTech M&A market
The European PropTech and ConTech M&A market is regaining momentum, but under fundamentally changed dynamics. Capital has become more selective, strategic buyers are increasingly dominating transaction processes, and single-point solutions are losing relevance despite strong growth. This snapshot highlights a clear shift toward scalable SaaS platforms with recurring revenues, deep workflow integration, and strong data foundations. Buy-and-build strategies remain the primary growth lever for investors, while AI-enabled platforms combining operational data and automation capabilities are commanding increasing strategic premiums. As recent transactions such as the Consigli deal demonstrate, valuation is no longer driven by revenue alone, but by a company’s role within future platform ecosystems. As a result, well-positioned platforms benefit from an attractive exit environment, while demand for mid-market add-on acquisitions remains strong.

No CTO at the Table, No Growth on the Balance Sheet
Companies with IT/technology represented in core executive leadership achieve higher valuations, innovate faster, and are more resilient. The DACH region has a systematic gap to close in this regard. Those who continue to treat technology as a staff function are demonstrably forfeiting growth and competitiveness. Opening up the executive body is not a structural question - it is a value decision.
